Terms of Service
These Terms of Service govern access to and use of Plangrep, an AI-powered construction document workspace.
1. Overview
Plangrep provides software that helps construction teams review, interpret, organize, and analyze project documents, including plans, specifications, drawings, submittals, bids, schedules, RFIs, and related files.
Plangrep is software. It does not provide architectural, engineering, legal, estimating, procurement, or construction consulting services.
2. Accounts and organizations
You are responsible for maintaining the security of your account credentials and for activity that occurs through your account.
If you use Plangrep for an organization, you represent that you have authority to use the service on behalf of that organization and to upload project documents for processing.
3. Customer content
You retain ownership of the documents, prompts, messages, project data, and outputs you upload to or create in Plangrep.
You grant Plangrep a limited license to host, copy, process, transmit, display, and analyze customer content only as needed to provide, secure, support, and improve the service.
4. Uploaded documents and permissions
You are responsible for making sure you have the right to upload and process project documents in Plangrep.
Construction documents may include confidential, security-sensitive, regulated, export-controlled, or third-party information. Do not upload restricted data unless your organization has the rights and approvals needed to process it in Plangrep.
- Do not upload malware or files intended to disrupt the service.
- Do not upload protected health information, payment card data, classified information, or export-controlled materials unless Plangrep has agreed in writing.
- Do not use Plangrep to violate confidentiality duties, intellectual property rights, procurement rules, or laws that apply to your projects.
5. AI outputs and human review
Plangrep uses artificial intelligence to analyze documents and generate outputs such as checklists, RFI questions, comparisons, summaries, logs, and exports.
AI outputs may be incomplete, inaccurate, or based on misunderstood context. Plangrep is intended to assist qualified reviewers, not replace them.
You are solely responsible for independently reviewing and validating outputs before relying on them for project, design, engineering, estimating, procurement, legal, or construction decisions.
6. Acceptable use
You may use Plangrep only for lawful business purposes related to construction workflows.
- Do not attempt unauthorized access or interfere with the service.
- Do not reverse engineer, scrape, copy, or bypass limits of the platform except as allowed by law.
- Do not use Plangrep to generate or rely on final professional decisions without appropriate human review.
- Do not use the service in a way that creates security, operational, legal, or reputational risk for Plangrep or others.
7. Credits, billing, and payments
Plangrep may charge for usage with credits. Review messages, saved runs, document processing, and generated outputs may debit credits from your organization balance.
Workspace usage may show available credits, reserved credits, credits used, purchases, auto-reload activity, and ledger calculations. Positive usage may be rounded up to at least one credit.
Organization admins may purchase credit packages, enable auto-reload, or manage billing through supported payment providers. Payments are non-refundable except where required by law or expressly stated by Plangrep.
If payment fails, auto-reload fails, or credits are unavailable, Plangrep may limit, suspend, or stop usage that requires credits.
8. Third-party services
Plangrep may use third-party providers for cloud hosting, storage, infrastructure, authentication, AI processing, payments, scheduling, email, security, logging, and operational support.
Your use of third-party integrations may also be subject to those providers’ terms and policies.
9. Intellectual property
Plangrep and its licensors retain all rights in the platform, software, technology, design, workflows, models, and documentation.
These Terms do not transfer ownership of Plangrep technology to you, and they do not transfer ownership of your customer content to Plangrep.
10. Confidentiality and security
Plangrep will use reasonable administrative, technical, and organizational safeguards designed to protect customer content.
Plangrep will not disclose customer content except as needed to operate, secure, support, or improve the service; comply with law; enforce these Terms; or respond to your instructions.
11. Availability and changes
Plangrep may change, suspend, or discontinue parts of the service. We do not guarantee uninterrupted availability or error-free operation.
We may release new features, change workflows, update usage calculations, or modify limits as the product evolves.
12. Termination
You may stop using Plangrep at any time. We may suspend or terminate access if you violate these Terms, create risk for the service or others, fail to pay amounts due, or use the service unlawfully.
After termination, some records may be retained as required for security, billing, legal compliance, backups, or legitimate business purposes.
13. Disclaimers
The service is provided “as is” and “as available.” To the fullest extent permitted by law, Plangrep disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Plangrep does not guarantee the accuracy of AI outputs, project outcomes, cost estimates, construction schedules, scope completeness, or compliance with professional standards.
14. Limitation of liability
To the fullest extent permitted by law, Plangrep will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
Plangrep is not liable for project delays, scope gaps, cost overruns, estimating discrepancies, construction errors, procurement decisions, professional decisions, or AI-generated inaccuracies.
Plangrep’s total liability for any claim is limited to the amounts paid to Plangrep for the service during the 12 months before the event giving rise to the claim.
15. Indemnification
You agree to defend, indemnify, and hold Plangrep harmless from claims, damages, liabilities, costs, and expenses arising from your use of the service, your customer content, your project decisions, your violation of these Terms, or your violation of law or third-party rights.
16. Governing law and venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, unless a different governing law is required by law or a written agreement signed by Plangrep.
Any dispute will be resolved in the state or federal courts located in Delaware, unless another venue is required by law or agreed in writing.
17. Changes to these Terms
We may update these Terms from time to time. If changes are material, we will provide notice through the website, the service, or email. Continued use after an update becomes effective means you accept the updated Terms.
